STOCKITY CLIENT AGREEMENT
In accordance with the terms and conditions set forth in this Client Agreement (the ‘Agreement’), Verte Securities Limited, a company incorporated under the laws of the Republic of Vanuatu, with company number 700726, having its registered address at International Business Centre, Suite 8, Plot 820/104, Route Elluk, Port Vila, Vanuatu ('the Company') grants an individual ('the Client') access to the website stockity.com ('the Website') and the Stockity mobile application ('the Mobile Application') for the purpose of executing trading transactions involving financial instruments provided on the Website.
By registering on the Website, the Client acknowledges receipt of the Agreement and the Privacy Policy available on the Website, which form an integral part of the Agreement. Such acceptance constitutes full and unconditional agreement to all terms and conditions contained herein.
I. DEFINITIONS
- 1.1. 'Account Balance' means the aggregate amount of funds in the Client's Account, excluding Open Transactions, and represents the Company's financial liability to the Client at a given time, unless specified otherwise.
- 1.2. ‘AI Trading’ means the functionality accessible in the Client's Account that enables the Client to execute Trading Transactions using artificial intelligence.
- 1.3. 'Asset' means currency pairs, commodities, contracts, stocks, and stock indices available for trading through financial instruments on the Website.
- 1.4. 'Benefit' means items available for purchase or exchange for Stockens by the Client within the Market.
- 1.5. 'Bonus' means funds credited to the Client's Account to increase trading capacity. A Bonus does not constitute a financial liability of the Company to the Client.
- 1.6. 'Client's Private Account' means the restricted-access area of the Website that allows the Client to use the Company's services after successful login authorization.
- 1.7. 'Client's Real Account' ('Account', 'Client's Account') means the Client's account established on the Trading Platform showing real-time updates of Non-trading Transactions, Open and Closed Trades, and other changes in the Company's financial liabilities to the Client. Account currencies include US dollars and euros.
- 1.8. 'Closed Trade' means a Trade that has reached Expiry or has been closed in accordance with the Client's instructions.
- 1.9. 'Company's Server' ('Server') means the technological system responsible for delivering direct Quotation feeds and other data as well as processing the Client's Trading Orders.
- 1.10. ‘Copy Trading’ means the functionality accessible in the Client's Private Account that allows the Client to replicate Trades executed by other traders on the Trading Platform. The Client may only use this service after accepting the Copy Trading Agreement, terms which form an integral part of this Agreement.
- 1.11. 'Demo Account' means a simulation account on the Trading Platform. Its currency is identical to the currency of the Client's Real Account. Funds in the Demo Account do not create financial liabilities of the Company to the Client.
- 1.12. 'Deposit' means funds transferred by the Client to the Client's Account.
- 1.13. ‘Event Contract’ means a contract whose trading profit is based on the occurrence of a specific event.
- 1.14. 'Expiry' means the moment a Trade is executed upon reaching the predetermined closing time.
- 1.15. 'Log File' means records containing system data regarding the operation of the Company's Server and the Client's interaction with the Website.
- 1.16. 'Market' means the Client's Private Account where Benefits can be purchased or exchanged for Stockens.
- 1.17. 'Multiplier' means the coefficient representing the ratio between the Trade Value and the Client's investment, set at the opening of a Transaction in CFD trading. The Multiplier shall not exceed 10.
- 1.18. 'Non-Trading Transaction' means actions such as Deposits, Withdrawals, and other activities outside the scope of Trading Transactions.
- 1.19. 'Open Trade' means a Trade that has not yet reached Expiry or has not been closed by the Client. Risk-Free Trades cannot be used in AI Trading.
- 1.20. 'Payment System Provider' means an entity offering electronic payment services.
- 1.21. 'Risk-Free Trade' means a Trade executed at the Company's expense. The Client may freely manage the profits earned without limitation. Risk-Free Trades do not create financial obligations of the Company to the Client. Risk-Free Trades cannot be used in AI Trading.
- 1.22. 'Stocken Balance' means the total amount of Stockens owned by the Client.
- 1.23. 'Stocken' ('STN') means non-transferable, non-convertible to cash, and non-heritable units credited to the Client's Stocken Balance that can be exchanged for Benefits in the Market. Stockens do not constitute securities, payment instruments, or currency.
- 1.24. 'Trade' means opposite Trading Transactions having the same identification number.
- 1.25. 'Trading Activity' means actions by the Client such as Deposits, Withdrawals, Trading Transactions, registration for paid Tournaments, topping up Tournament account balances (rebuy), and activation of Bonuses or rewards.
- 1.26. 'Trading Mechanism' means derivative financial instruments based on Assets provided by the Company within the Trading Platform, which do not require actual ownership of such Assets. Four mechanism types are available on the Website: FTT Trading, 5ST Trading, CFD Trading, and Prediction Trading.
- 1.27. 'Trading Order' means the Client's instruction to execute a Trading Transaction under specific terms.
- 1.28. 'Trading Platform' means the software system accessible via the Client's Private Account, used to display Quotations and other data in real-time, submit Trading Orders, track execution results, and perform related functions.
- 1.29. 'Trading Transaction' means an over-the-counter transaction involving Assets, conducted between the Company and the Client in cash settlement mode.
- 1.30. 'Trading Turnover' means the cumulative total of the Client's investments in Trades executed since their last Deposit.
- 1.31. 'Trade Value' is calculated as the Client's investment multiplied by the designated Multiplier.
- 1.32. 'Tournament' means a limited-duration competition offering cash prizes.
- 1.33. 'Quotation' means the digital value of an Asset at a given time.
- 1.34. 'Withdrawal' means the deduction of funds from the Client's Account and their transfer to the Client's external account.
II. REGISTRATION AND VERIFICATION
2.1. Registration on the Website is mandatory for the Client. To complete registration, the Client must: (i) provide a valid email address and create a password; (ii) select the currency for their Account; and (iii) agree to the terms and conditions of the Agreement.
2.2. By registering on the Website, the Client represents and warrants that they are a legally capable adult and have read, understood, and agreed to all terms of the Agreement.
2.3. To ensure lawful and secure service provision, the Company will verify the Client's identity and submitted information. The Company may request the Client to provide a photo of any of the following: (i) the Client's passport page displaying photo and personal data; or (ii) the front and back of the Client's ID card; or (iii) the Client's driver's license. Additionally, the Company may require a recent utility bill, bank statement, scanned bank card, or other documents if previously submitted documents are insufficient to verify identity, payment details, or accuracy of information under applicable laws.
2.4. Verification is typically completed within 20 minutes of receiving all requested documents; however, the Company may extend this period up to 7 calendar days if necessary.
2.5. Should the Client refuse to provide required documents or information, the Company reserves the right to suspend and subsequently block the services of the Client's Account. Deposited funds may be refunded exclusively through the payment details provided at registration or withheld until verification is complete.
2.6. The Company may request participation in a video conference, with notice given to the Client at least 24 hours in advance, to confirm identity and document authenticity.
2.7. By registering, the Client agrees to receive emails—including promotional content—phone calls, and SMS messages from the Company. The Client may unsubscribe from email communications at any time by clicking "Unsubscribe" in the email, disabling the option in the Private Account, or contacting Company Support. Unsubscribing from calls and SMS is available via Company Support. The Company undertakes to promptly process such unsubscribe requests. However, the Client will still receive transactional notifications.
2.8. Each Client is entitled to only one Account on the Website. Discovery of multiple Accounts linked to the same IP address, device, payment method, or other indicators may result in the cancellation of Trades and financial results across all such Accounts, and the Accounts may be blocked. Funds in these Accounts do not constitute financial liabilities of the Company to the Client. The Company may ask the Client to designate a single main Account to be kept. Deposits on other Accounts will be refunded via the payment method provided at registration without payment of profits and/or loss compensation.
2.9. If no Trading Activity occurs on the Client's Account for 90 consecutive days, a monthly service fee of $30/€30 (or equivalent to $30) will be charged, capped at the Account Balance or deducted funds in accordance with clause 2.10. This fee is waived once Trading Activity resumes.
2.10. The Company reserves the right to deduct the entire Account Balance if no Trading Activity occurs on the Client's Account for 6 consecutive months.
2.11. To restore funds to the Account, the Client must contact Company Support as described in Section XIII.
III. FTT TRADING (FIXED TIME TRADES)
3.1. To open a Trade, the Client selects an Asset, specifies the investment amount and price movement direction, and sets the Trade closing time.
3.2. The Trade automatically closes upon reaching the predetermined closing time.
3.3. A trade is considered profitable if, at closing, the current Asset Quotation exceeds the opening Quotation when the selected direction is "up", or if the current Quotation is lower than the opening Quotation when the direction is "down." The profitability of a Trade is fixed and determined by the Client's investment amount, the selected Asset, and the execution time.
3.4. Profit is calculated as the profit percentage multiplied by the Client's investment.
IV. 5ST TRADING
4.1. To open a Trade, the Client selects an asset, states the investment nominal, and specifies the price movement direction.
4.2. The Trade automatically closes 5 seconds after opening.
4.3. A trade is considered profitable if, at closing, the current Asset Quotation exceeds its opening Quotation when the selected direction is 'up' or the current Quotation is lower than the opening Quotation when the selected direction is 'down'. The profitability of a Trade is fixed and determined by the Client's investment nominal, the selected Asset, and the execution time.
4.4. Profit is calculated as the profitability percentage multiplied by the Client's investment.
4.5. The Client may only have one Open Trade with a specific Asset in 5ST Trading.
V. CFD TRADING
5.1. To open a Trade, the Client selects an Asset, specifies the investment amount, Multiplier, and price movement direction.
5.2. Trades are closed based on the Client's instructions or automatically. Trades close automatically: (i) upon technical Stop Loss, i.e., if losses reach 95% of the invested amount; or (ii) after 15 days from Trade opening. If automatic closure occurs during a period when CFD Trading Transactions for the Asset are unavailable, the Trade will close immediately upon receiving the next available Asset Quotation by the Trading Platform during the subsequent trading period.
5.3. A trade is profitable if, at closing, the Quotation is higher than the opening for a Trade with an "up" direction, or lower than the opening for a Trade with a "down" direction.
5.4. Profit or loss from a Trade is calculated as: Investment Amount × Multiplier × (Closing Quotation / Opening Quotation - 1).
5.5. When a Trade is opened, a commission of 0.02% of the Trade Value is deducted from the Client's Demo Account. This commission is rounded to the nearest tenth in the Demo Account currency.
5.6. The Client may have a maximum of 15 simultaneous open Trades in CFD Trading.
5.7. Maximum losses on Trades executed with CFD Trading shall not exceed 100% of the Client's investment amount.
5.8. CFD Trading is permitted from Monday 07:00 UTC to Friday 21:00 UTC. Outside this timeframe, opening or closing Trades is unavailable. On non-working days or asset exchange holidays within this period, Trading Transactions for the relevant Asset are suspended.
5.9. CFD Trading is exclusively available on Demo Accounts.
VI. PREDICTION TRADING
6.1. To open a Trade, the Client selects an event, states the investment nominal, and chooses either ‘yes’ or ‘no’.
6.2. Trades are closed either by the Client's instruction to sell the Event Contract or automatically upon reaching the time or occurrence of the event specified in such Event Contract.
6.3. A trade is profitable if, at closing upon reaching the time specified in the Event Contract, the event occurs when the selected option is ‘yes’, or the event does not occur when the selected option is ‘no’. A trade is profitable if, at the time of selling the Event Contract, the probability of the event occurring has increased compared to when the Trade was opened when the selected option is ‘yes’, or the probability of the event occurring has decreased compared to when the Trade was opened when the selected option is ‘no’. Trade profitability is fixed and determined by the Client's investment nominal, the selected event, and the execution time.
6.4. Profit is calculated as the profitability percentage multiplied by the Client's investment.
6.5. Prediction Trading is available exclusively on the Website and exclusively on Real Accounts.
VII. TRADING TRANSACTIONS
7.1. Quotations and Event Contract Prices
7.1.1. The Client acknowledges that the sole official source for Quotation flows and Event Contract prices is the Company's Server. Quotations and Event Contract prices displayed on the Trading Platform serve solely as indicative references and may be incomplete due to connectivity issues between the Trading Platform and the Server. Some Quotations and/or Event Contract prices may not reach the Trading Platform. The Company does not guarantee that Trading Transactions will be executed at the Quotations or Event Contract prices (depending on the Trading Mechanism) displayed on the Trading Platform at the time the Client places a Trading Order.
7.1.2. Asset Quotations on the Trading Platform are calculated as the arithmetic mean of purchase and sale prices: (purchase + sale) / 2.
7.1.3. If a Trading Order is executed based on a non-market Quotation or Event Contract price (depending on the Trading Mechanism), the Company shall adjust the financial result of the Trade in accordance with the market Quotation or Event Contract price (depending on the Trading Mechanism) at the time of execution or cancel the result of such Trade.
7.2. Processing of Client Trading Orders follows this sequence:
7.2.1. The Client executes a Trading Order, which is initially validated on the Trading Platform.
7.2.2. The validated Trading Order is sent to the Company's Server for further verification.
7.2.3. Upon successful verification, the Server processes the Trading Order and communicates the results back to the Trading Platform.
7.3. Processing time depends on the quality of communication between the Trading Platform and the Server and market conditions. Under normal circumstances, processing typically takes 0-4 seconds; poor market conditions may extend this duration.
7.4. Opening Trades
7.4.1. Minimum investment per trade is $1/€1 or equivalent to $1; maximum is $5,000/€5,000 or equivalent to $5,000.
7.4.2. Trading Orders to open Trades may be rejected if: (i) submitted before the first Asset Quotation is received by the Trading Platform at market opening; and/or (ii) available funds are insufficient in the Client's Account.
7.4.3. The Server may reject Trading Orders under abnormal market conditions.
7.4.4. A Trade is considered open once the corresponding entry appears in the Log File. Each Trade is assigned a unique identifier.
7.5. Closing Trades
7.5.1. Trades close at the latest Asset Quotation or Event Contract price (depending on the Trading Mechanism) recorded on the Server at closing time.
7.5.2. A Trade is considered completed once closure is recorded in the Log File.
7.6. AI Trading
7.6.1. AI Trading is available only on Real Accounts and exclusively for FTT (Fixed Time Trades).
7.6.2. To initiate AI Trading, the Client must press the “AI Start” button in the AI Trading section of their Private Account. When starting AI Trading, the Client must state: the maximum amount of the Client's investment in a single AI Trade in this session; the maximum number of AI Trades in this session; the loss limit in this session.
7.6.3. AI Trades are opened and closed automatically without any consultation, approval, or agreement from the Client.
7.6.4. The Client may stop an AI Trading session at any time via the ‘AI Stop’ button in the AI Trading section of their Private Account. The Client may restart AI Trading thereafter at any time if they have sufficient funds in their Account to open Trades. Additionally, an AI Trading session stops automatically if the maximum limit/number is reached or funds are insufficient. When an AI Trading session stops, all Open AI Trades will close upon reaching closing time.
7.6.5. If the Client uses AI Trading and there is any discrepancy between this Clause 7.6 and other clauses of this Agreement, Clause 7.6 ‘AI Trading’ shall prevail.
7.7. If the Client uses Copy Trading and there is any discrepancy between the Copy Trading Agreement and this Section VII, the Copy Trading Agreement shall prevail.
7.8. The Company may limit the maximum number of Trades per Client within a specified interval (minutes, hours, days).
7.9. The Company reserves the right to add, modify, or remove Assets and/or Event Contracts, as well as change profitability percentages, minimum and maximum investment amounts, and Expiry timeframes. The Company also reserves the right to modify or discontinue AI Trading functionality unilaterally.
7.10. Company system failures, unstable internet connections, power outages, exchange disruptions, force majeure events, or financial market trading suspensions affecting Assets and/or Event Contracts may invalidate Trades executed during such events.
VIII. NON-TRADING TRANSACTIONS
8.1. Official methods for Deposits and Withdrawals are established on the Company's Website. The Client bears all risks associated with the use of payment systems, including commissions and currency conversion fees. Depending on the jurisdiction, payment method, and transaction type, the Company may apply deposit and/or withdrawal fees, as described below: India (10% for withdrawals >1x/24 hours), Indonesia (5% for withdrawals >1x/24 hours), Ukraine (2% for withdrawals >1x/24 hours), Vietnam (10% for withdrawals >1x/24 hours).
8.2. Deposits are made via the Website's internal interface. Minimum deposit is $10/€10 or equivalent to $10, which may be lowered per Company policy in certain countries.
8.3. Depositing using third-party payment details is strictly prohibited. Detection of fraudulent activity authorizes the Company to cancel transactions and block the Client's Account.
8.4. Withdrawal requests are submitted through the Website interface. Minimum Withdrawal amount is $10/€10 or equivalent to $10.
8.5. Funds are debited from the Account only upon actual payment execution. Fund withdrawals are final and non-refundable.
8.6. The Client is solely responsible for the accuracy of information provided in Withdrawal requests.
8.7. Fund withdrawal requests are processed within 3 business days from submission.
8.8. Withdrawal limits: $3,000/€3,000 per day; $10,000/€10,000 per week; $40,000/€40,000 per month.
8.9. Fund withdrawals may be delayed for up to 10 business days by the Company's security service after prior notice.
8.10. Fund withdrawals are executed via the same methods and accounts used for Deposits.
8.11. For AML compliance, the Company may request certified/notarized proof of ownership of the withdrawal account within 14 calendar days.
8.12. The Company may reject withdrawal requests if the Account is overtly used for inter-payment system exchange operations.
8.13. If the Client withdraws funds before achieving a Trading Turnover exceeding twice the Deposit amount, a withdrawal fee of 10% of the Account Balance or the last Deposit (whichever is greater) will be charged.
8.14–8.18. Company financial liability provisions apply when funds are received in the Company's official accounts and end when funds are transferred out of the Company's official accounts.
8.19. If fraudulent actions are suspected, the Company may block the Account without prior notice for up to 10 business days for investigation.
8.20. Refund Policy: Refunds are processed via Non-Trading Transactions. For bank cards, applications can be sent to support@stockity.com.
IX. BONUSES, TOURNAMENTS, AND PROMOTIONS
9.1–9.3. Bonuses are credited per promotional programs and do not constitute financial liabilities of the Company. Withdrawing funds while a bonus is active requires completing Mandatory Trading Turnover (standard leverage 35–40). Bonuses cannot be used in Prediction Trading.
9.4–9.10. Each promotion applies only once per Client. Non-Deposit Bonuses must be activated within 3 days. Balances below the minimum investment limit forfeit the bonus.
9.11–9.15. Tournaments use special virtual accounts (₮). Cash prizes are credited to the Client's Real Account. Tournament cheating results in cancellation of results.
X. MARKET & XI. STOCKENS
10.1–10.9. Market: A place to exchange Benefits using Real Account funds or Stockens. Benefits are for personal use only and fees are non-refundable.
11.1–11.8. Stockens (STN): Non-financial units earned from Trading activities (excluding zero-result FTT/5ST and Prediction). Stockens expire in 30 days if no exchange or new crediting activity occurs.
XII. CLIENT RISKS & XIII. WARRANTIES, LIABILITY, AND FORCE MAJEURE
12.1–12.4. Risks: Trading over-the-counter financial instruments carries high risks of significant capital loss. AI Trading involves high risk and is the Client's independent choice.
13.1–13.2. Prohibited Jurisdictions: The Company does not provide services in certain regions/countries including (but not limited to): United States, Canada, Australia, Austria, Belgium, China, France, Germany, Hong Kong, Iran, Italy, Japan, Netherlands, Russia, Singapore, United Kingdom, Vanuatu, and other restricted territories.
13.3–13.14. Warranties: The Client warrants the origin and legality of funds and that login credentials are kept private. The Company is not liable for losses resulting from force majeure, third-party technical disruptions, or unauthorized bot/AI usage.
XIV. DISPUTE RESOLUTION, TAXES & FINAL PROVISIONS
14.1–14.7. Disputes: Complaints are submitted to support@stockity.com or complaints@stockity.com. The Company responds within 10 business days.
15.1–15.3. Contact: Official contact via support@stockity.com and online chat on the Website.
16.1. Taxes: The Company is not a tax agent and does not report Client transaction data unless officially requested by authorized authorities.
17.1–17.9. Amendments: The Company reserves the right to amend the Agreement at any time by publishing it on the Website. Termination of services by the Company will be notified 1 calendar month in advance.
18.1–18.3. Governing Law: This Agreement is governed by the laws of the Republic of Vanuatu. In case of translation discrepancies, the English version shall legally prevail.
